Senior Corporate Paralegal - Remote/Hybrid (NYC, Boston, San Diego)

Quantum-Si is seeking a senior corporate paralegal to support our legal team. 

 

As part of our team, your core responsibilities will be:

  • Assisting in managing: maintenance of an agreement database in Cobblestone, agreement deadlines and compliance, Section 16 filings; EDGAR Codes, D&O Questionnaires, 10b5-1 Plans, stock plan administration, insider trading compliance, subsidiary management, corporate governance, legal audit letter review, and organizational documents, such as articles of incorporation or dissolution, stock certificates, and merger agreements.
  • Assisting with documentation required by regulatory bodies like the SEC, IRS, UCC, and others.
  • Assist with the preparation of periodic SEC reports (Forms 10-K, 10-Q and 8-K)
  • Supporting litigation, mediation, arbitration, and responses to complaints.
  • Renewing and maintaining company registrations and licensing.
  • Managing various business entity documents with State agencies.
  • Assist with legal transactions including legal diligence.
  • Engage directly to help manage and track various litigation matters and insurance claims.
  • Partner with members of the legal team on other projects as necessary.

 

Qualifications

Baseline skills/experiences/attributes:

  • Bachelors degree with at least 8 years of experience working as a corporate paralegal at a public company and/or law firm.
  • Experience preparing documentation for SEC filings.
  • Self starter who is adept at project management, and can meet deadlines with quality work product
  • Proficient in Cobblestone and Workiva is preferred
  • Strong attention to detail and excellent organizational, written and verbal skills.
  • Ability to prioritize tasks based on importance and urgency.
  • Requires 5% of travel to either the San Diego, CA or Branford, CT office.

 

The estimated base salary range for this role based in the United States of America is: $120,000 - $140,000. Compensation decisions are dependent on several factors including, but not limited to, level of the position,  an individual’s skills, knowledge and abilities, location where the role is to be performed, internal equity, and alignment with market data. Additionally, all full-time employees are eligible for our discretionary bonus program and equity as part of the compensation package.
